민희진 전 어도어(ADOR) 대표가 어도어 임시주주총회 소집과 사내이사 재선임을 요청하는 가처분 신청서를 제출했습니다.
민 전 대표 측은 “사내이사 임기 종료 전 임시주주총회를 통해 먼저 사내이사로 재선임된 후 대표이사로 복귀하는 방안을 우선 논의하기 위해 이번 가처분을 신청했다”고 밝혔습니다.
또한 “주주간계약에 따라 민 전 대표의 어도어 대표이사 및 사내이사로서의 5년 임기가 보장되어 있다”고 주장했으며, “민 전 대표를 해임한 하이브(HYBE)의 결정은 주주간계약과 법원의 가처분 결정을 위반한 것”이라고 말했습니다.
Min Hee-jin, former CEO of ADOR, has filed an injunction requesting the convening of an extraordinary shareholders’ meeting and her reappointment as an internal director of ADOR.
Min’s side stated, “We filed this injunction to first discuss reappointing her as an internal director through an extraordinary shareholders’ meeting before the term of her internal directorship ends, and then consider her return as CEO.”
They also claimed, “According to the shareholder agreement, Min’s five-year term as both CEO and internal director of ADOR is guaranteed,” and added, “HYBE’s decision to dismiss her violates both the shareholder agreement and the court’s injunction.”
ADOR前代表闵熙珍提交了召开ADOR临时股东大会并重新任命公司内部董事的禁令申请书。
闵熙珍方面表示：“我们此次申请禁令是为了在内部董事任期结束前通过召开临时股东大会，优先讨论重新任命她为内部董事，然后考虑她重返CEO一职。”
他们还主张：“根据股东协议，闵熙珍作为ADOR代表理事及内部董事的五年任期受到保障”，并补充道：“HYBE解雇她的决定违反了股东协议和法院的禁令决定。”
